GOVERNANCE

The Board of Directors, which is comprised of executive and non-executive directors under the Chairman are responsible for; Reviewing and approving the major strategies and activities of the company and the wider industry. Monitoring the financial and risk positions of the company. Ensuring compliance with the legal and compliance requirements of the company. Evaluating the performance of executive management and recommending appointments where vacancies become available. Ensuring that the common standards across all companies are maintained. 

The Board of Directors have adopted, where possible, the recommendations of the King IV governance framework for the DUCAT Group within South Africa. The directors acknowledge, that King IV, goes further than the statutory obligations placed on them, under the Companies Act and that several of the recommendations are more suitable or appropriate for larger and JSE listed companies. Despite these constraints, the Board of Directors have agreed that in the interests of working towards international best practices, the company will work towards implementations of the goals and integrate its reporting methodology within its Annual Reports.

DUCAT AFRICA, is the brand under which the member firms of DUCAT CAPITAL SA. (DCAP SA) operate. Together, these firms form the DUCAT AFRICA network. “DUCAT AFRICA” and “DUCAT” is often used to refer either to individual firms within the DUCAT AFRICA network or to all of them collectively.

In many parts of the world that we operate, trading firms are required by law to be majority locally owned and independent to support a transformation agenda. DUCAT AFRICA member firms do not and cannot operate as a corporate multinational, even within a single legal jurisdiction. The DUCAT AFRICA network is not a single firm, or a multinational corporation.

For these reasons and others, the DUCAT AFRICA network consists of firms which are separate legal entities. The firms that make up the network are committed to working together to provide quality service offerings for clients throughout the world. Firms in the DUCAT AFRICA network are; members in, or subsidiaries of, or have other connections to DCAP SA, a Swiss private company registered in the canton of Geneva. DCAP S.A. is a holding company that may hold stakes between member firms in the network and focuses on key areas involving strategy, brand, risk management, good governance, financial management and quality to ensure a common coordinated approach and standards amongst individual firms, whilst ensuring that they retain their management independence and distinct legal characters.

Member firms of DUCAT AFRICA network can use the DUCAT AFRICA name and the resources and the methodologies of the DUCAT AFRICA network are made available to them. In addition, member firms may request the resources of other member firms and/or secure the provision of professional services by other member firms and/or other entities on terms that are no more expensive than if those services are procured from a third party.
